OPEN INTERNATIONAL CALL FOR EXPRESSION OF INTEREST

MADAR Holding hereby launches an international open call for expression of interest
addressed to foreign operators holding exploitation rights or licenses for International
tobacco brands. This call aims to identify partners interested in leveraging and
operating their licenses within the framework of MADAR Holding's project to create a
tobacco manufacturing plant dedicated to the production and distribution of tobacco
products. meeting the requirements and evolving demands of the national market.

# Participation Requirements:

. Be free from any prohibitive constraints likely to prevent conducting business
activities in Algeria.

. Be compliant with the legislation in force in the country of origin.

. Demonstrate a legal existence within the tobacco industry and ownership of
rights relating to internationally renowned brands.

. Demonstrate sound financial standing supported by external auditor certified
financial statements, including (balance sheets and profit & loss accounts for
the last three fiscal years).

. Not fall under any of the exclusion cases listed bekwww.

# Required Documents

. Letter of expression of interest signed by the company's legal representative

· Full commercial register.

· Company statutes translated into Arabic,

. Financial statements for the last three fiscal years (2023, 2024, and 2025)

. Tax compliance certificate.

. Company presentation: areas of activity. brands manufactured or exploited
under valid licenses covering Algerian terntory

# Submission Procedure

. Within fifteen (15) days from the date of publication. A secured electronic file
and/or two bound hard copies bearing the mention: "MADAR/DSD/AMI/2026/

# Legal Framework

. Article 298 of the Indirect Tax Code, as amended and supplemented by Article
71 of the Finance Law 2025.

. WHO Framework Convention on Tobacco Control, adopted In Geneva on 21
May 2003, ratified by Algeria under Presidential Decree No. 06-120 of 12 March
2006.

. Provisions of Law No. 23-12 of 05 August 2023 establishing the general rules
for public procurement

. Provisions of Law 22-18 on investment, and foreign exchange regulations of the
Bank of Algeria 07-01 and 22-04.

. This notice shall not constitute a contractual commitment. MADAR Holding
reserves the right not to proceed further with this notice without providing
any justification.

# Exclusion Cases

Are excluded companies:

· Convicted for tax, customs, or sanitary offenses.

· Declared bankrupt. under receivership, or liquidation,

. Whose executives have been convicted of corruption, money laundering, or
terrorism financing.

. In dispute with MADAR Holding.

. Not complying with Algerian regulations.

تطلق مجمع مادار القابضة إعلامًا عن إبداء اهتمام دولي مفتوح لفائدة المتعاملين الأجانب الحائزين على حقوق
استغلال أو ملاك تراخيص علامات قبغ دولية. ويهدف هذا الإعلان إلى تحديد الشركاء المهتمين بتثمين واستغلال
تراخيصهم في إطار إنشاء مصنع التبغ من طرف مجمع مادار القابضة، مخصص لتصنيع وتوزيع منتجات التبغ بما
يستجيب لمتطلبات وتطورات السوق الوطنية

# شروط المشاركة

أن يكون المترشح خاليًا من أي قيود مائعة من ممارسة النشاط أو الدخول في
معاملات تجارية بالجزائر

-أن يكون مطابقا للتشريع المعمول به في بلد المنشأ

إثبات الوجود القانوني في صناعة التبغ وحيازة حقوق على علامات ذات شهرة دولية

إثبات وضعية مالية متينة من خلال كشوفات مالية مصادق عليها من طرف هيئة رقابة خارجية

MADAR Holding lance par la présente, un appel international à manifestation d'intérêt
ouvert adressé aux opérateurs étrangers détenteurs des droits d'exploitation ou
des licences pour les marques internationales de tabac. Cet appel vise à identifier
des partenaires intéressés par la promotion et l'exploitation de leurs licences dans le
cadre de la création par Madar holding, d'une usine de tabac dédiée à la fabrication
et à la distribution de produits du tabac répondant aux exigences et aux besoins
évolutifs du marché national.

## Condition de Participation :

· Être indemne de toutes contrainte rédhibitoire susceptible d'empêcher rentrée
en affaires en Algérie.

· Étre en conformité avec la législation du pays d'origine.

. Justifier une existence legale dans l'industrie du tabac et la détention de droits
sur des marques de renommée internationale.

· Justifier une solide situation financière établie par des états financiers certifiés
par le contrôle externe (bilan et comptes de résultats des trois derniers
exercices).

· Ne pas tomber sous l'un des cas d'exclusion ci-dessous énoncés,

## Dossier à fournir

· La lettre de manifestation d'intérêt signé par le représentant légal de la société.

· Le registre de commerce intégral:

. Les statuts de la société traduits en langue arabe

· Les états financiers des trois derniers exercice (2023, 2024 et 2025).

· Attestation de conformité fiscale.

· Présentation de la société ; marchés d'activité, marques fabriquées ou
exploitées sous licence valable couvrant le territoire algérien,

## Cadre Juridique

. L'article 298 du code des impôts indirects, modifié et complété par l'article 71
de la LF 2025.

. La convention-cadre de l'OMS pour la lutte antitabac, adoptée à Genève le
21 mai 2003, ratific par l'Algerie par décret présidentiel nº06-120 du 12 mars
2006.

. Les dispositions de la loi n'23-12 du 05 août 2023 fixant les règles générales
relatives aux marchés publics.

· Les dispositions de la loi 22-18 relative à l'investissement, règlementation des
changes Banque d'Algerie 07-01 et 22-04

. Le présent avis ne constitue pas un engagement contractuel. MADAR Holding
se réserve le droit de ne pas y donner suite, sans justification.

## Cas d'exclusion :

Sont exclues les sociétés : condamnées pour infractions fiscales, douanières ou
sanitaires ; en fallite, redressement ou liquidation judiciaire ; dont les dirigeants ont
été condamnés pour corruption, blanchiment d'argent ou financement du terrorisme
: en litige avec MADAR Holding ; ou ne respectant pas la réglementation algérienne.
