NOTICE OF RESTRICTED NATIONAL AND INTERNATIONAL CALL FOR TENDERS

EPCC PROJECT

(Engineering, Procurement, Construction and Commissioning)

Engineering, Procurement, Construction, and Commissioning (EPCC) of a new concentrated and condensed urea formaldehyde unit - UFC85- at the CP1Z complex in Arzew – Oran, Algeria.

Two (02) steps Process (Technical bids followed by Financial bids)

1. This Call for Tenders is addressed only to EPCC Companies specializing in the field of petrochemical industrial installation Projects, whose share capital is greater than or equal to Seven Million US Dollars (7,000,000.00 USD) and justifying an experience of more than fifteen (15) years.

2. Subject:

Sonatrach Company – Refining and Petrochemicals Activity – Development Division, located at Industrial area BP N° 58, Arzew 31200- Oran – Algeria, is launching a National and International Restricted Call for Tenders, in two (02) steps for “EPCC of a new UFC85 unit for the production of concentrated and condensed Urea Formaldehyde Condensate UFC85 with an annual production capacity of 40,000 TM/year at the CP1Z complex located in the Arzew industrial zone in Oran, Algeria, with its auxiliary equipment & installations and buildings”.

3. Scope Summary:

The scope of the Services and Works consists of the development of the detailed Engineering, including those related to the Licensor's process design package, the execution of the Procurement, Construction and Commissioning as well as the commissioning of annual production facilities of forty thousand metric tons per year (40000 TM/year) of concentrated and condensed urea formaldehyde at the CP1Z complex located in the industrial zone of Arzew - Oran - Algeria with its equipment & auxiliary installations necessary for its operations and related buildings, with transfer of the license from the Licensor upon provisional acceptance of the Work to the Project owner.

4. Eligibility criteria.

Only companies meeting the following minimum requirements may bid for this Call for Tenders:

5. General and specialized experience in relation with this kind of projects:

• Have more than fifteen (15) years of experience in carrying out similar petrochemicals projects
• Have successfully completed at least two (02) EPC projects (in the field of the present Project (UFC85) or similar petrochemical projects) during the last fifteen (15) years."

5. Financial situation:

• Financial capacity to carry out the project.
• Having achieved an average turnover over the last three (03) years greater than or equal to seven hundred million USD (100,000,000.00 US$)
• The Bidder must provide all necessary documents and explanations regarding its good financial health, in particular, the financial balance sheets of the last three (03) years and their annexures.

5. The bidder must have human and material resources in line with the project.
5. Signature of the Non-Disclosure or Confidentiality Agreements (NDA) by the bidder or his duly authorized representative.

This NDA agreement will be given to the bidders or their duly authorized representatives, for signature and return, before the submission of the Call for Tenders Documents by the Contracting Structure, located at the address indicated above.

The bidder's representative must be provided with a mandate allowing him to sign the non-disclosure or confidentiality agreements (NDA).

5. Withdrawal of the Tender Documents:

As soon as this Tender Notice is published in the BAOSEM, interested companies that meet the eligibility criteria set out in this Tender Notice may withdraw the Tender Documents at the address indicated below:

Upon presentation of:

• A copy of the trade register, justifying the conditions indicated in point 1 above;
• A written declaration signed by the company’s first manager certifying that it meets the eligibility criteria cited in this Tender Notice;
• Having a share capital greater than or equal to seven million US Dollars (7,000,000.00 USD)
• The Non-Disclosure or Confidentiality Agreement (NDA) with the licensor and Sonatrach, signed by the bidder or its duly authorized representative
• Proof of payment of a non-refundable amount of Five hundred US Dollars (500.00 USD) or its equivalent in euro for bidders under foreign law and Sixty thousand Algerian Dinars (60,000.00 DZD) for bidders under Algerian law.

Payment will be made by transfer to Sonatrach bank account N°002000700702200334-79, opened with the BEA Bank, El Marsa Arzew- Oran.

The withdrawal period of ITB “DAO” is set at forty-five (45) days from the date of publication of the call for tenders notice in BAOSEM.

No withdrawal of the Tender Documents will be allowed beyond forty-five (45) days from the date of publication of the call for tenders notice in BAOSEM.

6. Deadline for submission of technical offers:

In a first phase, only technical offers must be sent in a double sealed envelopes by express mail or filed with the General Order Office (BOG) at the address indicated above, ninety (90) days, from the date of publication of the Call for Tenders Notice in BAOSEM. Any offers received after this deadline will be inadmissible.

Time: before four o’clock (4:00 pm).

7. Presentation of the offer:

The two (02) steps bidding submission process applies to this Call for Tenders.

First stage: Submission of the technical offer anonymously without reference to prices.

The technical offer content is specified in the Tender Documents.

Technical offers without any price indication must be placed in a sealed, anonymous envelope labeled "Technical Offer."

Technical offers must contain a bid guarantee in the amount of thirty-two million five hundred thousand Algerian Dinars (32,500,000.00 DA) for bidders under Algerian law and two hundred fifty thousand US Dollars (250,000.00 USD) for bidders under foreign law, the validity period of which is equal to the validity period of the offers, i.e. one hundred and eighty (180) days, with an additional period of thirty (30) calendar days.

The bid guarantee may be submitted by interested candidates on the day the technical offer envelopes are opened.If the last day of the deadline for submitting offers coincides with a public holiday, the date will be postponed to the next working day

The technical offers established in three (03) copies in paper format (including 1 original and 2 copies) and one (01) in numeric format, must be sent in a double sealed envelope by express mail or deposited with the General Order Office (BOG) between 9:00 a.m. and 4:00 p.m. on working days before the deadline, this will be at the following address:

The stamp of the General Order Office (BOG) of the Contracting Structure will be confirming this submission.

The envelopes containing the technical offers will be opened in the presence of the duly authorized representative(s) of the bidders who wish to attend the opening session, which will take place on the date, the time, and at the address specified in the invitation letters.

Second stage: The bidders whose technical offers have been declared compliant with the requirements of the Call for Tenders Documents at the technical evaluation phase, will be invited to submit a financial offer for second stage.

The financial offer must be delivered sealed in an anonymous envelope bearing the reference and subject of the Call for Tenders as well as the mention “financial offer” to the address indicated above.

The outer envelope must only bear the following mention:

The envelopes will be opened in the presence of the duly authorized representative(s) of the bidders who wish to attend the opening session which will take place on the date, at the time, and at the address specified in the letters of invitation.

The selection of the bidder will be based on the lowest financial offer.

Bidders will remain bound by their offer for a period of one hundred and eighty (180) calendar days from the date of the submission of offers.
